Acceptance of Terms

By accessing or using the Stormi Capital platform, you agree to be bound by these Terms of Use. If you do not agree with any part of these terms, please discontinue use immediately.

Definitions

Stormi refers to Stormi Capital B.V., located at Beursplein 37, 3011 AA Rotterdam, Netherlands, registered with the KvK under number 86349465.

You / Artist refers to the individual or company using Stormi to distribute music.

Services refers to the distribution of your music and metadata to Digital Service Providers (DSPs) such as Spotify and Apple Music.

DSPs refers to Digital Service Providers - the streaming and download platforms where your music is made available.

AI-Generated Content refers to any audio track, artwork, or metadata created fully or partially using artificial intelligence tools.

Use of Services

You retain 100% of the copyright and all related rights to your music at all times. Stormi never claims ownership of your content.

To distribute your music, you grant Stormi a non-exclusive, worldwide license to reproduce and deliver your music to DSPs, and to use your name, artist name, image, and likeness for promotional purposes related to your releases.

For AI-generated content: you must have the legal right to commercially exploit any AI-generated content you upload, and you warrant that the content does not infringe the intellectual property rights of any third party, including rights related to AI training data.

Your Responsibilities

By uploading content to Stormi, you confirm that you own or have licensed all rights to the music, artwork, and metadata you upload. You are solely responsible for paying any royalties owed to featured artists, producers, co-writers, or any other third parties.

You must disclose during the upload process whether a track is fully or partially AI-generated. Failing to do so is a material breach of this Agreement and may result in an immediate Strike on your account.

Prohibited Activity

The following activities are strictly prohibited and will result in immediate action, including account termination and financial penalties.

You may not use bots, click farms, scripts, or any automated tools to generate fake streams or manipulate streaming metrics. Mass-uploading low-quality, fully automated AI-generated tracks with the intention of gaming streaming algorithms is classified as Artificial Streaming and treated as Fraud. A penalty of €25 per track will be charged for any content removed due to fraudulent activity or undisclosed AI spam.

AI-Generated Content Policy

If you upload AI-generated content, you must ensure you have all rights, licenses, and permissions needed for its commercial exploitation. You explicitly warrant that the content does not infringe any third-party intellectual property rights, including rights related to training data.

DSPs continue to develop and update their AI content policies. Stormi reserves the right to refuse or remove AI-generated content at any time if it does not comply with the guidelines of platforms like Spotify or Apple Music.

You must disclose during the upload process whether a track is AI-generated. Failure to disclose may result in an immediate Strike under our Anti-Fraud Policy.

Stormi reserves the right to immediately suspend or terminate your account and delete all your files if we determine - at our sole discretion - that you have breached the AI content rules or failed to remedy such a breach.

If Stormi determines that revenue was generated through content that violates this policy or DSP rules, we may withhold payments for up to 24 months while we investigate. Any amounts already paid to you that are later found to be linked to violations may be recouped by deducting them from future payments. If a DSP charges Stormi a fine or penalty due to your content, that amount will be deducted from your balance.

Full Indemnification & Third-Party Claims

You agree to fully indemnify, defend, and hold harmless Stormi Capital B.V., its directors, employees, agents,

and affiliated parties against any and all claims, proceedings, damages, losses, liabilities, costs, and expenses - including reasonable legal fees - brought by any third party arising out of or related to:

  • Content you upload, distribute, or make available through the platform

  • Any breach of these Terms of Use

  • Any infringement of intellectual property rights, including copyrights, neighbouring rights, trademark rights, or rights related to AI training data

  • Any violation of applicable law, DSP policies, or third-party rights

  • Any claim by featured artists, producers, co-writers, or other rights holders regarding unpaid royalties or unauthorised use

In the event that Stormi is named as a defendant, receives a legal notice, or is otherwise drawn into a dispute arising from your content or conduct, you agree to assume full responsibility for Stormi's legal defence costs, including attorney's fees and court costs, reimburse Stormi for any damages, settlements, or awards paid to third parties, and cooperate fully with Stormi in the defence of any such claim.

Financial Penalties & Administrative Costs

In addition to third-party damages, Stormi reserves the right to charge fines and administrative fees directly to you in the following cases:

  • Violation of the Anti-Fraud or AI Content Policy: €25 per affected track

  • Undisclosed AI-generated content: immediate Strike + €25 per track

  • Manual content review triggered by your violation: €50 administrative fee per review

  • DSP-imposed fines passed on to Stormi as a result of your content: 100% passed through to your account

  • Fraudulent or disputed payout requests: €35 processing fee per incident

All such amounts may be deducted directly from your current balance or invoiced separately.

Right to Terminate - At Any Time, For Any Reason

Stormi Capital B.V. reserves the unconditional right to suspend or permanently terminate your account and remove all your content at its sole discretion, without prior notice and without providing a reason.

Stormi may terminate this Agreement and your access to the platform at any time, for any reason or no reason at all, including but not limited to violation of any provision of these Terms of Use, conduct that Stormi deems detrimental to the platform or its reputation, a business decision to discontinue services to a particular user, or suspicion of fraudulent, harmful, or unlawful activity.

Upon termination, all licenses granted by you to Stormi will terminate, Stormi will initiate the takedown of your content from DSPs subject to DSP processing times, and any outstanding balance will be reviewed and paid out

within the standard reporting window if no violations are identified. Revenue associated with violations may be permanently forfeited.

Stormi shall not be liable to you or any third party for any loss of revenue, loss of opportunity, or other damages arising from the exercise of its termination right.

Content Standards - Zero Tolerance Policy

Stormi does not tolerate music or associated content that promotes hatred, discrimination, violence, or harm. We may remove such content immediately, without your consent, and without prior notice.

The following types of content are strictly prohibited on the Stormi platform:

  • Content that promotes, glorifies, or incites hatred based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or any other protected characteristic

  • Content containing racist, antisemitic, homophobic, transphobic, or otherwise discriminatory language or messaging

  • Content that incites or glorifies violence against individuals or groups

  • Content that constitutes harassment, threats, or targeted abuse against any person or group

  • Content that violates applicable law in the Netherlands or in the jurisdiction where it is distributed

Stormi reserves the right to remove, unpublish, or block any content that, in its sole judgment, violates this Content Standards Policy. This may be done immediately and without prior notice, without requiring your consent or approval, and before or after the content has been distributed to DSPs. Stormi is not obligated to notify you in advance of a removal and accepts no liability for any loss of revenue or other damages resulting from the removal of prohibited content.

If your account is flagged for prohibited content, an administrative fee of €50 may be charged per content review, revenue generated by the removed content will not be paid out, repeated violations will result in permanent account termination, and Stormi reserves the right to report violations to relevant authorities where required by law.

Intellectual Property

All content, trademarks, and assets on this platform are the property of their respective owners. Unauthorized reproduction or distribution is strictly prohibited.

Disclaimer of Warranties

Our services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee uninterrupted or error-free operation of the platform.

Payments & Royalties

You can request a payout once your balance reaches €50 or more. You receive net income after DSP fees and Stormi's commission. Streams identified as artificial, or revenue withheld by DSPs due to AI policy violations, will not be paid out. Sales reports are typically available 3–4 months after a stream or sale occurs.

Confidentiality

You agree not to share platform-specific streaming statistics or Stormi marketing materials with third parties.

Governing Law & Disputes

This Agreement is governed by the laws of the Netherlands. Any disputes shall be submitted to the competent court in Rotterdam, the Netherlands.
